Agreement
These Terms form a binding agreement between cqcplatform Ltd(“cqcplatform”, “we”, “our”) and the organisation that creates an account (“Practice”, “you”).
If you are accepting these Terms on behalf of a practice, federation or ICB, you confirm you have authority to bind that organisation.
Definitions
- Service — the cqcplatform web application, APIs and supporting infrastructure.
- Practice Data — policies, SOPs, training records, signatures, incidents, complaints, meetings, employees and audit log entries uploaded by you.
- Subscription — the plan you select to access the Service after your free trial.
The service
cqcplatform provides a compliance management platform for UK GP practices, aligned to the CQC Single Assessment Framework. We continuously improve the Service; new features may be added and minor features may be retired with notice.
Your account
You are responsible for keeping account credentials secure, for the actions of users you invite, and for ensuring your staff use the Service in accordance with these Terms. Promptly notify us if you suspect unauthorised access.
Free trial
We offer a 7-day free trial. Full feature access is included. No credit card is required to start. At the end of the trial you can select a plan to continue editing, or keep read-only access to your data.
Fees & billing
Subscription fees are stated in GBP and exclude VAT. You can choose monthly or annual billing. Annual plans renew at the end of the term; we do not auto-rebill silently — we'll email you 30 days before renewal.
You can cancel at any time. Monthly plans end at the end of the current billing month; annual plans run to their term. We do not refund partial periods except where required by law.
Your data
You own your Practice Data. We process it as your data processor — see our Privacy Policy. You can export your data at any time during your subscription and for 90 days after cancellation. After that, your data is permanently deleted unless we are required by law to retain it.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose.
- Upload material that is unlawful, defamatory, infringing or harmful.
- Attempt to gain unauthorised access to the Service or other tenants' data.
- Reverse engineer, scrape or load-test the Service without our written consent.
- Resell or sublicense the Service without a written agreement.
Service availability
We aim for high availability and operate the Service from the United Kingdom on Google Cloud. Planned maintenance is communicated in advance. We do not guarantee uninterrupted service — but we work hard to come close.
For Group and Enterprise plans, written SLA terms apply.
Intellectual property
The Service, including its design, code, and content authored by us, remains our intellectual property. You retain ownership of all Practice Data you upload. You grant us a limited licence to process Practice Data solely to deliver and support the Service.
Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, our aggregate liability to you under or in connection with these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, loss of profit, loss of business or loss of data beyond reasonable mitigation.
Termination
Either party may terminate this agreement for material breach not cured within 30 days of written notice. You may cancel your subscription at any time from Settings → Billing.
On termination, you will lose access to the Service. We'll retain your data for 90 days during which you can export, and then permanently delete it.
Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
Changes to these terms
We may amend these Terms from time to time. Material changes will be communicated to your practice administrator at least 30 days in advance and will apply prospectively only.
